FIRST: The Board of Directors will be elected by the McAdams Cemetery and Reunion Association at its annual meetings.

SECOND: The Board of Directors will consist of seven (7) members who will be elected for staggered three (3) year terms.

THIRD: Each year thereafter when the term of a Board member expires, the McAdams Cemetery and Reunion Association will elect the Board position replacement at its annual meetings.

FOURTH: When the position of a Board member becomes vacant during the normal term of a member, the Board of Directors will appoint a Board member replacement for the remainder of that term.

FIFTH: The Board will elect its President and Vice-President and they will serve as President and Vice-President of the McAdams Reunion and Cemetery Association. These officers will not be elected by the McAdams Reunion and Cemetery Association.

SIXTH: The President will have the authority to assign the lots, and the responsibility for the work and upkeep of the cemetery. He should then notify the Secretary as to the expense of the work done. If the President is not available, the Vice-President will be in charge.

SEVENTH: A standard lot will be 10' by 10' for two people.

EIGHTH: The majority of the Board must be descendents of the John McAdams family.

NINTH: Families who do not donate for the upkeep of the Cemetery will not have a vote in matters pertaining to the cemetery.

TENTH: The Funeral Home must consult the President or Vice-President before opening a grave.

ELEVENTH: If any tree or shrub on any lot in the cemetery shall become detrimental to the adjacent lots or unsightly or inconvenient, it shall be the duty of the Board of Directors and they shall have the right, to enter upon said lot and remove the same, or such parts thereof as are detrimental, unsightly, or inconvenient.

TWELFTH: If any monument, effigy, or enclosure, or any structure whatever, or if any description be placed in or upon any lot in said cemetery, which shall be determined by the Board of Directors to be offensive, or improper, or injurious to the appearance of the surrounding lots or grounds, the said Board shall have the right, and it shall be their duty by their proper officers, to enter upon such lot and remove the said offensive or improper object or objects.

THIRTEENTH: It shall be the duty and right of the Board of Directors, from time to time, to lay out, close, or alter avenues and walks as they may see fit.

FOURTEENTH: The duties of the President shall be to preside at the meetings of the Board of Directors, to make calls for special meetings when in his or her judgment it shall be necessary or advisable to have called meetings, to nominate the Committee herein after provided for, and to discharge such other duties as may be prescribed by the Board of Directors from time to time.

FIFTEENTH: There shall be a committee known as the Finance Committee, consisting of three (3) board members, Financial Secretary, Recording Secretary, and Treasurer, which shall be appointed by the Board of Directors. It shall be the duty of the Finance Committee to collect the donations and make plans for the financing of the Association.

SIXTEENTH: The Board members will inspect the Cemetery Association buildings and grounds on a quarterly basis or as needed.

SEVENTEENTH: The Board of Directors will have the authority and it shall be its duty to employ a groundskeeper at a salary to be determined by the Board of Directors and it shall be the duty of such groundskeeper, in consideration of the payment of such salary, to keep all the grounds of the Cemetery Association in such conditions as may be required by these By-Laws or by the Board of Directors.

EIGHTEENTH: The lots in the cemetery shall be numbered. It shall not be taken away from a party, individual, or family unless it is agreeable to the said party or parties. It shall then be turned back to the Board of Directors for further assignment.

NINETEENTH: The Board of Directors shall have the authority to add, revise or cancel any By-Law it deems necessary.

TWENTIETH: The Secretary and Treasurer will be appointed by the Board of Directors annually after the association member meetings.

TWENTY-FIRST: It shall be the duty of the Board of Directors to review the Record and Financial standing of the McAdams Cemetery Association quarterly.

TWENTY-SECOND: It shall be the responsibility of the Secretary to keep minutes of all meetings of the Board of Directors.

TWENTY-THIRD: Any Board member who is absent from two of the four regular scheduled meetings of the Board of Directors in one calendar year may, by vote of the Board of Directors, be replaced with an Association member appointed by the Board of Directors to serve the remainder of that member term.

TWENTY-FOURTH: The Trust Fund will be invested in U. S. government securities or in financial institutions insured by the U. S. government. At least two members of the Finance Committee will invest the funds and sign for any withdrawal or change of investments.

TWENTY-FIFTH: The Trust Fund will be kept separate from the Work Fund. If, however, the Board of Directors finds that the welfare of the Association so requires, interest accruing annually to the Trust Fund may be transferred to the Work Fund. Any interest or donations remaining in the Trust Fund at the end of the calendar year will be added to the principal of the Trust Fund. The principal of the Trust Fund will never be invaded, except in a situation of extreme emergency and by approval of five (5) of the seven (7) Board members.

TWENTY-SIXTH: A family member of a direct descendant of John McAdams may be buried in the McAdams Cemetery. Other requests for burial must be approved by a majority of the Board of Trustees of the McAdams Cemetery and Reunion Association.
